1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and ProEdits.net ("Company," "we," "us," or "our"), governing your use of our website at proedits.net and all content production, marketing, and related services we provide.

By accessing our website, booking a strategy call, signing a service agreement, or otherwise engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

These Terms should be read in conjunction with our Privacy Policy, which governs how we collect and handle your personal data.

2. Services Provided

ProEdits.net provides content production, marketing, and digital growth services including, but not limited to:

• Video production, editing, and publishing for social media platforms
• Content writing including SEO articles, scripts, email copy, and social media posts
• Social media SEO optimization and profile management
• CRM setup, lead funnel creation, and marketing automation
• Paid social media advertising management (Meta, TikTok, LinkedIn)
• Website design and development
• Content strategy consulting and advisory services

The specific services, deliverables, timelines, and fees applicable to your engagement are detailed in a separate Service Agreement or Statement of Work (SOW) executed between you and ProEdits.net. These Terms apply to all such engagements.

3. Eligibility

You must be at least 18 years of age to enter into an agreement with ProEdits.net. By engaging our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into this agreement on behalf of yourself or the business entity you represent
• All information you provide to us is accurate, current, and complete
• You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country

4. Account Access & Responsibilities

To deliver our services, we may require access to your social media accounts, website, CRM platform, or other business tools. You agree to:

• Grant us the necessary account access permissions required to perform the agreed services
• Maintain the accuracy of login credentials and promptly notify us of any unauthorized access
• Take responsibility for all activity conducted through accounts you grant us access to, except where such activity results from our negligence or misconduct
• Ensure all content approvals and feedback are provided in a timely manner per the timelines agreed in your Service Agreement
• Provide accurate information about your business, products, services, and target audience to enable effective content production

You are solely responsible for ensuring that your use of our services and the content we produce on your behalf complies with all applicable laws, regulations, platform policies, and industry guidelines. ProEdits.net shall not be liable for any content that is found to violate applicable law where such violation results from inaccurate information provided by you.

5. Payment Terms & Billing

Payment terms are specified in your Service Agreement. General terms include:

• Billing Cycle: Services are billed monthly in advance on the same date each month, unless otherwise agreed in writing.
• Payment Methods: We accept payment via bank transfer, credit/debit card (via Stripe), and other methods as may be made available from time to time.
• Late Payments: Invoices not paid within 7 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause service delivery for accounts with overdue balances.
• Currency: All fees are charged in USD unless otherwise specified in your Service Agreement.
• Taxes: All fees are exclusive of applicable taxes. You are responsible for paying any applicable sales tax, VAT, GST, or other tax imposed by your jurisdiction.
• Price Changes: We reserve the right to adjust service pricing with 30 days' written notice. Price changes will not affect the current billing period.

6. Cancellation & Refund Policy

Cancellations and refunds are governed by the following policy:

• Minimum Commitment: All engagements have a minimum 3-month commitment. Cancellations within the minimum period are subject to a termination fee equal to the remaining months in the minimum commitment period.
• Post-Minimum Cancellation: After the minimum commitment period, you may cancel with 30 days' written notice to contact@proedits.net. Services and billing continue for the full 30-day notice period.
• 30-Day Satisfaction Guarantee: Within the first 30 days of a new engagement, if you are dissatisfied with the quality of deliverables and we are unable to resolve your concerns, we will issue a prorated refund for the days of service not yet delivered. This guarantee does not apply to renewals or engagements that have commenced publishing.
• Refund Processing: Approved refunds are processed within 10 business days to the original payment method.
• Non-Refundable Items: Strategy fees, setup fees, and third-party tool costs incurred on your behalf are non-refundable.

7. Intellectual Property & Ownership

7.1 Your Content

Upon receipt of full payment for services, all content produced by ProEdits.net specifically for you — including videos, written articles, scripts, graphics, and other deliverables — becomes your property. You are granted a perpetual, worldwide, royalty-free license to use, publish, modify, and distribute all such content.

7.2 Our Intellectual Property

ProEdits.net retains all intellectual property rights in our proprietary systems, methodologies, templates, frameworks (including the Viral Hook Matrix™), tools, software, and processes used to deliver our services. These are not transferred to you under any service engagement.

7.3 Portfolio Rights

Unless you specifically request otherwise in writing before engagement commencement, you grant ProEdits.net a non-exclusive, royalty-free license to use anonymized performance data and content samples in our marketing materials, case studies, and portfolio. We will never publish your business name, social handles, or identifiable information without your explicit written consent.

8. Confidentiality

Both parties agree to maintain the confidentiality of the other's proprietary and confidential information disclosed during the engagement, including but not limited to: business strategies, financial data, client lists, content calendars, and technical systems. This obligation survives termination of the engagement for a period of 3 years. Neither party shall disclose such information to third parties without the other party's prior written consent, except as required by law.

9. Prohibited Uses

You may not use our services or website to:

• Engage in any activity that violates applicable local, national, or international law or regulation
• Publish content that is defamatory, obscene, fraudulent, misleading, or that infringes third-party intellectual property rights
• Transmit spam, phishing content, or unsolicited commercial communications
• Violate the terms of service of any social media platform or third-party tool
• Engage in any form of click fraud, engagement manipulation, or artificial inflation of metrics
• Use our services for any business that ProEdits.net, in its sole discretion, determines to be unethical, harmful, or reputationally damaging
• Attempt to reverse-engineer, copy, or replicate our proprietary methodologies or tools

We reserve the right to immediately terminate your engagement without refund if we determine, in our sole discretion, that you are engaged in prohibited activities.

10. Disclaimers & Warranties

PROEDITS.NET PROVIDES SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Any guarantee of specific results, including follower growth, revenue, leads, bookings, or conversions
• Continuous, uninterrupted, or error-free service delivery
• Fitness of content for a particular purpose or platform requirement
• Compliance of third-party platform algorithms with past behavior

Social media platform algorithms, audience behavior, and market conditions are beyond our control. While we apply proven frameworks and best practices, we cannot and do not guarantee specific outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROEDITS.NET, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Damage to your brand reputation resulting from content we produce at your direction
• Platform penalties, account suspensions, or algorithm changes beyond our control
• Third-party service failures (e.g., social media platform outages)

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO PROEDITS.NET IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless ProEdits.net and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Inaccurate or misleading information you provide to us
• Your infringement of any third-party intellectual property rights
• Content directives you provide to us that result in legal claims
• Your violation of any applicable law or regulation

13. Termination

Either party may terminate the service engagement in accordance with the cancellation policy in Section 6. Additionally, ProEdits.net may immediately suspend or terminate your engagement without prior notice if:

• You materially breach these Terms and fail to cure such breach within 7 days of written notice
• You engage in prohibited activities as defined in Section 9
• You fail to make payment within 14 days of the due date
• We determine, in our sole discretion, that continuing the engagement would expose us to legal, reputational, or financial risk

Upon termination, we will deliver all work product completed to the date of termination within 14 business days, subject to payment of all outstanding balances. All clauses of these Terms that by their nature should survive termination shall do so.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

In the event of any dispute, both parties agree to first attempt to resolve the matter informally through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

YOU AND PROEDITS.NET WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending written notice to the email address associated with your account

Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must cancel your engagement in accordance with Section 6.
